Terms of Use

These terms (the "Terms") are a binding agreement between you and the operator of Exhale (referred to here as "Exhale", "we", "us"). They cover your use of the Exhale iOS application (the "App") and the website at useexhale.com (together, the "Service"). By installing, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you don't agree, don't use the Service.
Important — read this first
Exhale is not a medical, mental health, crisis, or emergency service. The guided breathing pattern is a general-purpose, non-clinical relaxation cue. It is not a diagnosis, a treatment, or a substitute for professional care. Do not rely on Exhale to manage any medical, psychiatric, or safety issue. Always use your own judgment, and consult a qualified professional for advice specific to you. Your use of Exhale is at your own risk.
Emergencies
If you, or anyone else, is in immediate physical or psychological danger — including injury, abuse, suicide risk, or a medical emergency — stop using Exhale and call your local emergency number immediately (911 in the US, 112 in the EU and UK, or the equivalent for your country).
Breathing exercises are not for everyone
Slow, paced breathing is generally well-tolerated, but for some people it can cause lightheadedness, dizziness, anxiety, or other effects. Do not use Exhale while operating a vehicle or any machinery. Stop the press immediately if you feel faint or unwell. If you have a heart, lung, neurological, or anxiety condition, are pregnant, or have any other reason to be cautious about breathing exercises, talk to a doctor before using the app.
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and legally able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements. The App is not directed to children, and we do not knowingly allow anyone under 16 (or under 13 in the US) to create an account or use the Service.
License to use the App
Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on an Apple device you own or control, solely for your personal, non-commercial use. All rights not expressly granted are reserved.
Acceptable use
You agree not to:
- break, scrape, probe, attack, or otherwise interfere with the Service;
- reverse-engineer, decompile, or attempt to derive source code from the App, except where this restriction is prohibited by applicable law;
- use the Service in a way that is unlawful, harassing, harmful to another person, fraudulent, or that infringes anyone's rights;
- resell, rent, sublicense, or otherwise commercialize access to the Service.
Your account and data
Exhale provisions an anonymous, device-bound account silently on first launch. You are responsible for the device you use the App on. You may delete your account and all server-side data at any time from Settings → Delete account & data, or by emailing hello@useexhale.com. See our Privacy Policy for details on what we collect and how long we keep it.
Intellectual property
The Service, including the App, this website, the underlying software, design, content, and trademarks (including "Exhale"), is owned by us or our licensors and is protected by intellectual property laws. These Terms do not transfer any ownership rights to you.
Feedback
If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without obligation or compensation to you. You confirm that any feedback you send is your own and does not violate any third party's rights.
Service availability and changes
We may change, suspend, or discontinue any part of the Service at any time, with or without notice. We may impose limits on certain features or restrict access without notice or liability. We will try to give reasonable notice for significant changes when we can, but we are not required to.
DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT THE GUIDED BREATHING PATTERN WILL PRODUCE ANY PARTICULAR EFFECT FOR YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EXHALE, ITS MAKER, OR ANY OF ITS SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) US $50.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (FOR EXAMPLE, LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION).
Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Exhale and its maker, suppliers, licensors, and service providers from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; or (c) your violation of any law or third-party right.
Apple App Store terms
If you obtained the App through the Apple App Store, the following applies in addition to these Terms:
- These Terms are between you and us only, not with Apple. Apple is not responsible for the App or its content.
- The license granted in these Terms is limited to use of the App on an Apple-branded product that runs iOS, as permitted by the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide any maintenance or support for the App.
- Apple is not responsible for addressing any claims by you or any third party relating to the App.
- In the event of a third-party claim that the App or your use of it infringes that party's intellectual property rights, Apple is not responsible for investigating, defending, settling, or discharging the claim.
- You represent that you are not located in a country subject to a US Government embargo, or designated by the US Government as a "terrorist-supporting" country, and that you are not on any US Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Termination
You can stop using the Service at any time by deleting your account from inside the App and uninstalling it. We may suspend or terminate your access to the Service, immediately and without notice, if we reasonably believe you have violated these Terms or that your use poses a risk to us, to other users, or to a third party. Sections that by their nature should survive termination (including the disclaimers, limitation of liability, indemnification, IP, and governing-law sections) will survive.
Changes to these Terms
If we change these Terms in any meaningful way, we'll update the date at the top and, where it matters, surface the change in the App or on this website. Continued use after a change means you accept the new Terms. If you don't agree to a change, stop using the Service.
Governing law and venue
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to any mandatory consumer-protection law that gives you the right to bring a claim in your country of residence, you and we agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Francisco County, California, and you and we consent to the personal jurisdiction of those courts.
Miscellaneous
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreement on the same subject. Severability. If any provision is held unenforceable, the rest will remain in full effect. No waiver. Our failure to enforce a provision is not a waiver of our right to do so later. Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Force majeure. We are not liable for delays or failures caused by events outside our reasonable control.
